Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Onairos Inc. ("Onairos," "we," "us," or "our"), including our website, applications, APIs, SDK, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are under 18, you may not create an account or use the Services under any circumstances.

3. Description of Services

Onairos provides a privacy-first personalization platform that enables users to leverage their personal data on their own terms. Our Services include:

• A personal data wallet for managing and controlling your digital identity
• APIs and SDKs for developers to integrate personalization capabilities
• Demo applications showcasing personalization features
• Related tools and services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Privacy and Data Protection

Your privacy is fundamental to our mission. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key principles:

• Data Minimization: We only collect data strictly necessary for our Services.
• Ephemeral Processing: Your personal data is processed in-memory and never stored on our servers.
• No Third-Party AI: Core Onairos processing uses no external AI providers.
• User Control: You can revoke access and delete your data at any time.
• End-to-End Encryption: All data is encrypted using AES-256 at rest and TLS 1.3 in transit.

5. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Engage in fraudulent, deceptive, or harmful activities
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Scrape, harvest, or collect data from the Services without authorization
• Use the Services for discriminatory profiling or decisions affecting individuals
• Interfere with or disrupt the integrity or performance of the Services
• Use automated systems (bots, scrapers) except through our official APIs
• Resell, sublicense, or redistribute the Services without our written consent

We reserve the right to investigate violations and take appropriate action, including suspension or termination of access and referral to law enforcement.

7. Developer and API Terms

If you integrate with Onairos through our APIs or SDK ("Developer Services"), the following additional terms apply:

7.1 Data Handling Obligations

When you receive user data through the Onairos API, you agree to:

• Protect user data with industry-standard security measures, including encryption at rest and in transit
• Use data only for the purposes disclosed to and consented by the user
• Never sell, share, or transfer Onairos user data to third parties without explicit user consent
• Delete user data promptly upon user request or revocation of consent
• Maintain a privacy policy that meets or exceeds the standards of our Privacy Policy
• Implement data retention limits and not store user data longer than necessary
• Notify Onairos immediately of any data breach affecting Onairos user data

7.2 Prohibited Developer Uses

Developers may not use Onairos data or Services to:

• Make decisions that discriminate against individuals based on protected characteristics
• Conduct surveillance or monitoring without user knowledge and consent
• Create profiles for purposes beyond what users have consented to
• Combine Onairos data with other data sources to re-identify users
• Use data for advertising or marketing without explicit consent
• Train machine learning models on user data without explicit consent

7.3 User Consent Requirements

Before calling Onairos APIs on behalf of a user, you must obtain clear, informed consent from that user explaining what data will be accessed and how it will be used.

7.4 Audit Rights

We reserve the right to audit your compliance with these Developer Terms. You agree to cooperate with reasonable audit requests and provide documentation demonstrating compliance.

7.5 Developer Liability

You are solely responsible and liable for your use of Onairos user data and any harm caused by your failure to comply with these Terms. Violations may result in immediate termination of API access, legal action, and liability for damages.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by Onairos Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 Your Data

You retain ownership of all data you provide to the Services. By using the Services, you grant us a limited, non-exclusive license to process your data solely to provide the Services to you.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, royalty-free license to use and incorporate such feedback without obligation to you.

9. Third-Party Services

The Services may integrate with or rely on third-party services, including:

• Cloud infrastructure providers (AWS)
• Payment processors (Stripe)
• Email services (Resend)
• Security and CDN services (Cloudflare)

We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Payment Terms

Certain features may require payment. By subscribing to paid Services:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are non-refundable except as required by law or stated in these Terms
• We may change pricing with 30 days' notice; continued use constitutes acceptance
• You authorize us to charge your payment method on a recurring basis for subscriptions

All payments are processed securely through Stripe. We do not store your payment card details.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at support@onairos.uk or through your account settings.

11.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, if:

• You violate these Terms or any applicable law
• Your use poses a security risk to the Services or other users
• We are required to do so by law
• We discontinue the Services

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will delete your personal data in accordance with our Privacy Policy (within 30 days). Sections of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Results obtained from the Services will be accurate or reliable
• Any defects will be corrected
• The Services will meet your specific requirements

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONAIROS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the greater of:

• The total amount you paid to Onairos in the 12 months preceding the claim, or
• One hundred U.S. dollars ($100)

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Onairos Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content or data. This indemnification obligation survives termination of these Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@onairos.uk and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in San Francisco, California, or remotely by mutual agreement.

15.3 Class Action Waiver

YOU AND ONAIROS AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Exceptions

The following are not subject to arbitration:

• Claims for injunctive relief related to intellectual property
• Small claims court actions (if your claim qualifies)

15.5 Opt-Out

You may opt out of arbitration by sending written notice to legal@onairos.uk within 30 days of first accepting these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, the courts located in San Francisco County, California shall have exclusive jurisdiction.

17. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an email notification for significant changes
• Displaying a prominent notice within the Services

Your continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Services.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Onairos regarding the Services and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
